Global rat­ing agency Moody's was in­formed that the Hold­ers of Cer­tifi­cates ev­i­denc­ing a ma­jor­ity of the Vot­ing Rights al­lo­cated to the Con­trol­ling Class in­tend to re­place LNR Part­ners Inc ("LNR") as the Spe­cial Ser­vicer and to ap­point C-III As­set Man­age­ment LLC ("C-III") as the suc­ces­sor Spe­cial Ser­vicer.

The Pro­posed Spe­cial Ser­vicer Re­place­ment will be­come ef­fec­tive upon sat­is­fac­tion of the con­di­tions prece­dent set forth in the gov­ern­ing doc­u­ments.

Moody's rat­ings ad­dress only the credit risks as­so­ci­ated with the pro­posed trans­fer of spe­cial ser­vic­ing rights.

Other non-credit risks have not been ad­dressed, but may have sig­nif­i­cant ef­fect on yield and/or other pay­ments to in­vestors.
