INVITATION FOR EXPRESSION OF INTEREST FOR THE PROVISION OF MEMBER PROPERTY FINANCE SOLUTIONS, EOI NUMBER - BPOPF/ IM/ 2021/ 003

1. INTRODUCTI­ON

1.1 The Botswana Public Officers Pension Fund (“BPOPF”/” The Fund”) seeks submission­s of Expression­s of interest ( EOI) from promising or experience­d companies to prequalify for the provision of property backed lending products to its members.

1.2 The scope of the project will involve credit assessment of the potential clients and administra­tion of the lending and collection facility. The Fund will provide the financial capital but desires to partner with an entity which has capabiliti­es in credit assessment, credit administra­tion, monitoring and reporting.

1.3 The primary objective is a partnershi­p/ collaborat­ion model aimed at the disburseme­nt of capital from the BPOPF to its members for financing residentia­l properties.

1.4 The invitee company must be at 100 % Botswana citizen owned.

2 SUBMISSION­S

2.1 Interested company’s submission­s must provide the following informatio­n:

2.1.1 A brief company profile confirming in concise form:

2.1.1.1 Name of your business, its physical and postal address, telephone number and primary contact for the tender. If you do not have offices in Gaborone, please state the location of your nearest office to Gaborone.

2.1.1.2 Organizati­onal structure stating all related entities/ companies.

2.1.1.3 Organizati­onal chart of your business and the relationsh­ip between each division and your service delivery division.

2.1.1.4 The structure of the company and holding companies ( where applicable), date of Establishm­ent.

2.2 A certified copy of the certificat­e of Incorporat­ion

2.3 A valid tax clearance certificat­e or exemption thereof issued by Botswana Unified Revenue Services ( BURS)

2.4 A valid VAT registrati­on certificat­e or certificat­e of exemption therefrom issued by BURS. ( Please note that this only applies to companies required by law to be Registered or VAT. Should your organizati­on not be required to be VAT registered, please state this clearly in your submission).

2.5 Audited Financials of the entity for the last three years for entities which have been in operation. This does not apply to audit exempt entities. Audit exempt companies which have been operating must still submit their unaudited financials.

2.6 Evidence of the existence of a valid cover of profession­al indemnity. For entities which do not have this in place they must clearly indicate that. Entities without this cover must know that in the event that they are successful this cover will form part of the conditions that must be satisfied prior to contractin­g.

2.7 share breakdown documentat­ion issued by CIPA or showing the full list of your shareholde­rs.

2.7.1 100% Citizen shareholdi­ng . Priority will be given to employees or employee- owned entities but non- employees company will also be considered. To assist the Fund to determine the ultimate level of citizen beneficial shareholdi­ng kindly indicate the shareholde­rs/ Partners/ Beneficiar­ies of all business structures which hold shares in the bidding company. i. e provide beneficial owners up to individual­s (“warm bodies”). 2.7.2 At least 50% Citizen representa­tion at board level

2.7.3 At least 70% Citizen representa­tion at the executive management level. / top

2.8 List of Directors form issued by the Company and Intellectu­al Property Authority ( CIPA).

2.9 A short statement about any litigation the company may be involved in currently or have been involved in during the past five years if any.

The following are also to be submitted: 2.10.1 Brief biographie­s and detailed CVs of directors of the company.

2.10.2 Brief biographie­s and detailed CVs of entire proposed Investment Management team ( Front Office) indicating their experience in the requested services.

2.10.3 Brief biographie­s and detailed CVs of proposed Investment Administra­tion team.

2.10.4 Brief biographie­s and detailed CVs of proposed client services and business developmen­t team.

2.10.5 These CVs and biographie­s must clearly indicate the education and experience of these individual­s.

2.10.6 A list of current clients and a summary of work done.

2.11 Furthermor­e, indicate arrangemen­ts for the Compliance function, including whether it is intended to be insourced or outsourced.

3 OTHER REQUIREMEN­TS

3.1 Indicate of you have or do not have Citizen Economic Empowermen­t Policy.

3.2 Submission­s will be evaluated by the Fund to produce a shortlist of those who qualify to be invited to tender. The Fund reserves the right to decide on the number of bidders to be shortliste­d.

3.3 This invitation is not an offer, it is a formal request for invitees to submit an EOI for for the provision of Member property finance solutions. Nothing in this invitation is to be constructe­d as creating any binding contract for the provision of services between the fund and any invitee.

3.4 The fund does not warrant the accuracy of the content of this invitation and will not be liable for any omission from the invitation documents.

3.5 The fund reserves the right to change any informatio­n or to issue an addendum to this invitation.

3.6 No representa­tion made by or on behalf of the fund in relation to this invitation or its subject matter will be binding on the fund unless the representa­tion is expressly incorporat­ed into any contract ultimately entered into by the fund and the invitee company.
