BOTSWANA PUBLIC OFFICERS PENSION EXPRESSION OF INTEREST

INVITATION FOR THE EXPRESSION OF INTEREST FOR INVESTMENT MANAGEMENT SERVICES IN RESPECT OF – BOTSWANA INFRASTRUCTURE UNDER THE BPOPF INCUBATION PROGRAMME – EOI NUMBER / IM/ 2021/ 004

1. INTRODUCTION

1.1 The Botswana Public Officers Pension Fund (“BPOPF”/” the Fund”) has strategically earmarked some of its investment capital for investment in local infrastructure projects. In line with this the BPOPF seeks submissions of Expressions of Interest ( EOI) from promising or experienced companies for the management of Botswana Infrastructure investment portfolio.

1.2 The scope of the mandate will involve acquiring, administering and managing a Botswana Infrastructure investment portfolio on behalf of the BPOPF with a view to generating income and capital appreciation for the Fund.

1.3 This EOI is open only to Botswana registered companies. No unincorporated business entities such sole proprietors, partnerships, trusts or joint ventures will be considered.

1.4 This is an incubation programme therefore entities need not be licensed for asset management ( by NBFIRA) at the time of submission of proposals but licensing will become a condition pre- cedent to contracting in the event the bidder is successful.

1.5 The invitee company must be at least 51% Botswana citizen owned.

2. SUBMISSIONS

2.1 Interested company’s submissions must provide the following information:

2.1.1 A brief company profile confirming in concise form :

2.1.1.1 Name of your business, its physical and postal address, telephone number and primary contact for the tender. If you do not have offices in Gaborone, please state the location of your nearest office to Gaborone.

2.1.1.2 Organizational structure stating all related entities/ companies.

2.1.1.3 Organizational chart of your business and the relationship between each division and your service delivery division.

2.1.1.4 The structure of the company and holding companies ( where applicable), and date of establishment.

2.2 A certified copy of the certificate of Incorporation

2.3 A valid tax clearance certificate or exemption thereof issued by Botswana Unified Revenue Services ( BURS)

2.4 A valid VAT registration certificate or certificate of exemption therefrom issued by BURS. ( Please note that this only applies to companies required by law to be Registered or VAT. Should your organization not be required to be VAT registered, please state this clearly in your submission).

2.5 Audited Financials of the entity for the last three years for entities which have been in operation. This does not apply to audit exempt entities. Audit exempt companies which have been operating must still submit their unaudited financials.

2.6 Evidence of the existence of a valid cover of professional indemnity. For entities which do not have this in place they must clearly indicate that. Entities without this cover must know that in the event that they are successful this cover will form part of the conditions

that must be satisfied prior to contracting.

2.7 share breakdown documentation issued by CIPA or showing the full list of your shareholders.

2.7.1 At least 51% Citizen shareholding, Priority will be given to employees or employee- owned entities but non- employees company will also be considered. To assist the Fund to determine the ultimate level of citizen beneficial shareholding kindly indicate the shareholders/ Partners/ Beneficiaries of all business structures which hold shares in the bidding company. i. e provide beneficial owners up to individuals (“warm bodies”).

2.7.2 At least 50% Citizen representation at board level

2.7.3 At least 70% Citizen representation at the executive / top management level.

2.8 List of Directors form issued by the Company and Intellectual Property Authority ( CIPA).

2.9 A short statement about any litigation the company may be involved in currently or have been involved in during the past five years if any.

2.10 The following are also to be submitted: 2.10.1 brief biographies and detailed CVs of directors of the company.

2.10.2 brief biographies and detailed CVs of entire proposed Investment Management team ( Front Office) indicating their experience in the requested services.

2.10.3 Brief biographies and detailed CVs of proposed Investment Administration team.

2.10.4 Brief biographies and detailed CVs of proposed client services and business development team.

2.10.5 These CVs and biographies must clearly indicate the education and experience of these individuals.

2.10.6 A list of current clients and brief summary of work done.

2.11 Furthermore, indicate arrangements for the Compliance function, including whether it is intended to be insourced or outsourced.

2.12 Companies with valid licenses or exemptions from the Non- Bank Financial Institutions Regulatory Authority ( NBFIRA) must submit those. Companies without must indicate such and indicate if at all they have submitted applications for such licenses/ exemptions to NBFIRA.

3 OTHER REQUIREMENTS

3.1 Indicate of you have or do not have Citizen Economic Empowerment Policy.

3.2 Submissions will be evaluated by the Fund to produce a shortlist of those who qualify to be invited to tender. The Fund reserves the right to decide on the number of bidders to be shortlisted.

3.3 This invitation is not an offer, it is a formal request for invitees to submit an EOI for provision of investment management services - Botswana Infrastructure. Nothing in this invitation is to be constructed as creating a binding contract for the provision of services between the fund and any invitee.

3.4 The fund does not warrant the accuracy of the content of this invitation and will not be liable for any omission from the invitation documents.

3.5 The fund reserves the right to change any information or to issue an addendum to this invitation.

3.6 No representation made by or on behalf of the fund in relation to this invitation or its subject matter will be binding on the fund unless the representation is expressly incorporated into any contract ultimately entered into by the fund and the invitee company.
