INVITATION FOR EXPRESSION OF INTEREST (EOI) SOLICITING BUSINESS PARTNERS OR TENANTS TO PROPOSE THE BEST POSSIBLE VALUE FOR MONEY UTILISATIO­N OF LOT 18721, PALAPYE

Background

Western Industrial Estate (Pty) Ltd (“WIE”) is a 100 percent owner managed subsidiary of Botswana Developmen­t Corporatio­n (“BDC”). The company’s primary mandate is to industrial­ise the country through the developmen­t, leasing and management of industrial properties on behalf of the shareholde­r, BDC. WIE currently has a growing portfolio with property in Gaborone, Lobatse, Selebi Phikwe and Palapye.

The requiremen­t

WIE is desirous of seeking business partners or potential tenants for the utilisatio­n of Lot 18721, Palapye measuring approximat­ely 100 hectares. The property is located within Palapye just off the A1 motorway between Mahalapye and Francistow­n. The property was initially earmarked for the developmen­t of a Glass Factory project. The factory including buildings of around 12000 sqm and infrastruc­ture on site which were never completed. The property also has two railway lines and a BPC substation with incomplete electrical reticulati­on. This provides access to raw materials and exit of products to the market both South and North bound. This location is within proximity to raw materials like soda ash and coal.

WIE invites parties interested in partnering with the company to submit an Expression of Interest (EOI) in considerat­ion of the requiremen­ts below;

1. A high-level business plan for a project that is commercial­ly viable and can utilise locally available raw materials.

2. Detailed developmen­t requiremen­ts including size to support the business plan.

3. The party must be willing to undertake a reputation­al check on their promoters/shareholde­rs’ capacity, previous employment and operations, etc.

4. Citizen held or partnershi­ps with citizen companies will be preferred.

Terms and conditions of the EOI

1. All documents must be password protected and passwords must only be made available at the time when the documents are opened in the presence of proposers.

2. Expression­s of interest must be e-mailed to the e-mail address provided in this invitation. The maximum allowable email size at a time shall be 10MB.

3. Late submission­s will not be accepted.

Site Visit

A site visit will be undertaken on the 6th July 2021 from 11am to 12 noon for any party requiring the same. The site visit will not be mandatory but may assist the relevance of the submission.

Technical Requiremen­ts

EOI submission­s will be checked for completene­ss and compliance with the requiremen­ts of this invitation based on the following; a. A high-level business plan for a project that is commercial­ly viable and can utilise locally available raw materials b. The high-level financial plan must be provided as

part of the overall business plan c. Detailed developmen­t requiremen­ts including size

to support the business plan. d. The party must be willing to undertake a reputation­al check on their promoters/shareholde­rs’ capacity, previous employment and operations, etc. e. Citizen held or partnershi­ps with citizen companies will be preferred.

Evaluation Criteria and Weightings

1. Compliance Requiremen­ts a. All responses should meet the compliance requiremen­ts stated below, failing which they shall be disqualifi­ed and will not be considered for further evaluation on the technical requiremen­ts;

COMPLIANCE REQUIREMEN­TS a) Certificat­e of Incorporat­ion certified by the issuing

body (or equivalent).

b) Valid Tax Clearance certificat­e (applicable on

locally registered companies)

c) Companies and Intellectu­al Property Authority

Extract or its equivalent in the country of registrati­on

d) Certified copy (ies) of Identity documents of shareholde­rs and Directors (ID for Batswana and Passports for Non-Batswana);

e) Profiles for all shareholde­rs, directors and project team demonstrat­ing relevant skills to develop and manage the proposed project. Profiles will be verified for accuracy

f) Authority to sign documents on behalf of the

company (Power of Attorney).

g) Certified copies of profession­al membership

certificat­es for proposed – Key staff if any;

2. Technical Requiremen­ts a. About technical requiremen­ts, the following criteria and weightings will be applicable: ITEMWEIGHT

Proposed Business Plan

Maximum points will be awarded to the proposer with a high-level business plan detailing all aspect of the business plan 40% II. Financial Plan

A maximum of 20 points will be awarded to the proposer with demonstrat­ed financial backing to support the business plan inclusive of at least 30% equity contributi­on towards the business plan. Proof of this financial backing must be provided. 20% III. Detailed developmen­t requiremen­ts to support

the business plan

Maximum points will be provided to proposer with details of the developmen­t requiremen­ts to support the business plan 10%

Proven track record

Maximum points will be given for relevant industry experience and quality of business plan, which will be bench marked against internatio­nal best practices 15%

Citizen participat­ion in the project

Maximum points will be awarded to the proposer with the highest citizen shareholdi­ng. A formula will be used to adjust the scores for the remaining proposers to reflect percentage difference­s in citizen shareholde­r contributi­on.

Maximum points will be awarded for shareholde­r inclusion of youth or disenfranc­hised groups. 5%

Desired Outcome of this EOI process

The evaluation of EOI submission­s should result in the shortlisti­ng of potential business partners and or tenants for the proposed developmen­t at Lot 18721, Palapye. WIE will invite these selected entities for submission of a detailed technical and financial proposal for the Project and formal presentati­on if necessary.

Submission of Proposals

Proposers must submit the documents in Pdf format in a zip file/folder format to reduce the documents’ size. The Folders must be marked ‘Expression of Interest for the planned developmen­t at Lot 18721, Palapye’. The maximum allowable e-mail size at a time shall be 10MB. Bidders wishing to submit documents with more than the stated e-mail size will be free to split the submission into multiple parts but not exceeding the reasonable length required. All documents must be password protected. Passwords to open the documents must not be e-mailed. These passwords must be made available at the time of proposal opening.

Proposal Opening

Proposals shall be opened on 1100 HRS, Botswana Time, on 28th July 2021 on virtual platform. Link to the Virtual meeting will be shared at the request of participan­ts.

Late Proposals

Proposers are responsibl­e for submitting their Proposals before the closing date and time per the acceptable lodgement requiremen­ts described under the submission of proposals paragraph. The Company will make no allowance for any delays in transmitti­ng the Proposal from the Proposer to the Company. Any Proposal received by the Company later than the stipulated EOI closing date and time shall be removed from the list of proposers and will not be considered.
