LWRC’s unlisted common shares

JAMES L. Go increased in October the number of common shares he owns in PLDT Inc. (TEL) to 619,404 common shares, or 0.283117 percent from 135,914 common shares, or 0.062124 percent by buying 55,320 common shares.

In his acquiring additional TEL shares at an average price of P1,097.6702662205­4, he spent P60,723,119.144. He bought 13,655 TEL shares at P1,096.4921 on Oct. 3, 2019, 5,000 TEL shares at P1,098.0600 on Oct. 4, 2019, 3,580 TEL shares at P1,098.6508 on Oct. 7, 2019, 14,835 TEL shares at P1,099.0303 on Oct. 8, 2019, 10,000 TEL shares at P1,095.0480 on Oct 9, 2019, 1,445 TEL shares at P1,099.2768 on Oct. 10, 2019, and 6,805 TEL shares at P1,099.7796 on Oct. 15, 2019.

Of his acquisitio­ns of additional TEL shares, 483,490 TEL shares are lodged with PCD Nominee Corp., Go said in his “statement of changes in beneficial ownership.”

A general informatio­n sheet (GIS) listed Go as holder of 135,914 TEL shares, then equivalent to 0.06 percent of 216,055,775 subscribed capital stock. In turn, the company’s subscribed capital stock is equivalent to 92.332 percent of 234 million authorized capital stock (ACS) based on the company’s par value of P5 per share.

Go is a member of PLDT’s 13man board. His directorsh­ip makes him a company insider.

PLDT also has 150 million voting preferred shares and 387.5 million non-voting preferred shares for a total ACS of 771.5 million shares. They are voted by First Pacific Co. Ltd. through Manuel V. Pangilinan, chairman of the 13-person board, company president and chief executive officer.

On Nov. 6, 2019, TEL shares opened trading at P1,133, which was also the stock’s high. It then fell to a low of P1,108 and closed the day’s session at P1,121.88. The stock hit a month’s high of P1,149 and dropped to a 30-day low of P1,089.

Ownership profile

A public ownership report (POR) as of Oct. 31, 2019 listed 11,611,003,257 as issued common shares of PAL Holdings Inc. Minus the company’s 25,015 treasury shares, the company is left with 11,610,978,242 outstandin­g PAL common shares.

As a publicly listed company, PAL Holdings’ POR showed the public as holders of 1,198,992,072 common shares, or 10.33 percent. They topped the nine-person’s board that directly held 3,476 PAL shares as of Oct. 31, 2019.

In the same POR, the Tan-owned PAL Holdings listed two principal stockholde­rs with combined direct holdings of 10,033,776,103 PAL shares. These were Trustmark Holdings Corp. with direct ownership of 8,930,733,170 PAL shares, or 79.92 percent; and ANA Holdings Inc. with 1,103,042,933 PAL shares, or 9.5 percent.

PAL Holdings listed Cosmic Holdings Corp. under affiliate with direct holdings of 378,206,591 PAL shares, or 3.25 percent.

Computatio­ns resulted in the following: public ownership equals

10.326 percent; 11-person board, 0.0000299 percent; principal stockholde­r Trustmark, 76.916 percent; ANA, 9.500 percent; and Cosmic, 3.257 percent.

The publicly owned 1,198,992,072 PAL shares equals 10.326 percent.

On Nov. 6, 2019, PAL Holdings common shares opened trading at P8.19, hit a high of P10.50, fell to a low of P819, and closed the day’s session at P8.88. The stock peaked at 30-day high of P10.50 and fell to a month’s low of P7.80.

Same issued and outstandin­g Leisure and Resorts World Corp. ( LRWC) has 2,417,500,000 outstandin­g common shares out of 2,417,500,000 issued shares. It has no treasury shares, the reason why the company’s issued common shares and outstandin­g common shares are the same.

As public stockholde­rs, LWRC attributed to them their ownership of 773,367,583 common shares,

which, according to the company’s POR as of June 30, 2019, were equivalent to 31.99 percent.

LWRC listed in its POR nine principal or substantia­l stockholde­rs with direct ownership of 1,484,833,802 LWRC shares. These were Fortunegat­e Holdings Philippine­s Inc., Globalist Technology Co. Ltd., Colonial Group Holdings Corp., and XII Capital Inc., with direct ownership of 230 million LWRC shares. The others in the list are Leisure Advantage Inc., 77,724,895 LWRC shares, or 3,22 percent; Euphonious Holdings Inc., 121 million LWRC shares; Grandshare­s Inc., 120 million LWRC shares; and Zoraymee Holdings Inc., 111,267,658 LWRC shares. Alfredo Abelardo B. Benitez owned 134,841,249 LWRC shares.

Under “other relevant informatio­n,” LWRC explained: “Shares issued through private placements to Fortunegat­e, Globalist Technology, Colonial Group, XII Capital,

Leisure Advantage and Euphonious are not listed.”

The same POR also classified Leisure Advantage as a “stockholde­r with 176,647,488 ( 7.31 percent) shares under its name. One of the directors is the controllin­g stockholde­r of Leisure Advantage (LAI) and is deemed to have an indirect beneficial interest in LR shares held by LAI.”

The company did not identify the director who is LAI’s controllin­g stockholde­r.

On Nov. 6, 2019, LWRC common shares opened the day’s session at P3.03, hit a high of P3.21, fell to a low of P3.02, and closed at P3.20. The stock peaked at a month’s high of P3.21and a 30-day low of P2.93.

By the way, who owns Fortunegat­e, Globalist, Colonial, XII Capital, Leisure Advantage, Grandshare­s, and Zoraymee Holdings? Just asking.
