Arthaland’s highest-paid execs to get P135M in pay, perks this year?

ARTHALAND Corp. (ALCO) has an authorized capital stock (ACS) of 16,686,809,519. Of this, 16,418,095,199 are divided into 16,368,095,199 common shares with a par value of 18 centavos and 50 million preferred shares with a par value of P1, according to the company’s updated general informatio­n sheet (GIS).

Of the ACS, at least 1,958 Filipinos and foreigners paid for 5,360,595,199 ALCO common shares. Of the Filipinos, 1,930 owned 5,010,138,739 common shares; one, 12.5 million preferred A shares; 11, 19,802,610 preferred B shares; and two, 9,975,500 preferred C shares for P944.103 million in total. Of the foreigners, 14 paid P55.654 million for 308,178,350 common and preferred shares; 12 held 307,956,460 common shares; one, 197,390 preferred B shares; and one, 24,500 preferred C shares.

Topping the list of stockholde­rs were CPG Holdings with 2,017,619,910 common shares, or 37.939 percent of the 5,318,095,199 outstandin­g common shares; and AO Capital, 1,383,730,000 shares or 26.019 percent. PCD Nominee Corp. held 1,358,265,665 common shares or 25.540 percent for Filipinos, and 307,114,435 common shares or 5.775 percent for foreigners, the GIS showed.

The GIS also showed that Arthaland paid P81.72 million as their “total annual compensati­on of directors during the preceding fiscal year.”

The compensati­on data in the sheet showed that Jaime Gonzalez, Arthaland vice chairman of the board and president, is one of the company’s five highest-paid executives. The others are Leonardo Arthur Po, executive vice president and treasurer; Christophe­r Narciso, executive vice president; Gabriel Paulino, head of technical services; and Sheriyll Verano, head of strategic funding and investment­s.

Arthaland paid the five P81.72 million in salaries and P19.48 million in bonuses in 2018 for a total of P101.2 million and P83.46 million and P8.75 million, respective­ly, for a total of P92.21 million in 2019. For this year, the company

estimated their pay and perks at P135.06 million, although it said “whether bonuses will be given in 2020 is uncertain at this time.”

***** Arthaland filed its public ownership report (POR) on Mar. 31, 2020. In it, it listed two principal stockholde­rs with 3,526,349,910 common shares, or 66.309 percent of the 5,318,095,199 outstandin­g common shares. They are CPG Holdings Inc., 2,142,619,910 common

shares, or 40.289 percent; and AO Capital Corp., 1,383,730,000 common shares, or 26.019 percent.

As director, Gonzalez held 76,715,151 common shares, or 1.443 percent of the outstandin­g. He directly owns a nominal common share and indirectly owns 76,715,150 ones.

The POR attributed Arthaland’s public stockholde­rs as owners of 1,593,757,134 common shares, or 29.969 percent of the outstandin­g.

According to the report, Arthaland’s nonpublic common shares totaled 3,724,338,065 or 70.031 percent. It has two affiliates holding

121,272,996 shares or 2.28 percent: Elite Holdings Inc., 119,809,996, or 2.28 percent, and Manchester Properties Inc., 1.463, or 0.02 percent.

Arthaland may have reported 5,318,095,199 outstandin­g common shares as of Dec. 31, 2019, but listed only one affiliate in Elite Holdings as direct holder of 119,809,996 common shares, or 2.253 percent.

On June 30, 2018, Arthaland’s POR listed three principal stockholde­rs as owning 3,822,809,910 common shares, or 71.883 percent of the outstandin­g: CPG, 2,142,619,910 or 40.289 percent;

AO Capital, 1,383,730,000 or 26.019 percent; and Edimax Investment Ltd., 296.46 million or 5.566 percent. Also in the same report, public stockholde­rs were credited as owners of 1,375,475,284 common shares, or 25.864 percent.

In an unaudited first- quarter financial filing, Arthaland reported retained earnings of P3.119 billion. Its outstandin­g capital stock totaled 999,757,136 shares and P3.008 billion additional paid-in capital. This means its stockholde­rs paid P3.010 for each of the outstandin­g stock.

Arthaland shares peaked at a

30-day high of P0.61 on June 10, 2020, when they opened trading at P0.56, dropped to a low of P0.58 and closed at P0.59. They fell to a 30-day low of P0.48 on May 29, 2020, when they opened trading at P0.480, climbed to P0.50 and closed at P0.50.

On June 30, they opened at P0.53, hit a high of P0.57, dropped to a low of P0.52 and closed at P0.56 with volume of 1.086 million common shares.
