posed to a dollar per mowing sum. Any bids submitted that do not state a total dollar figure shall be rejected.

The Town shall pay the successful bidder 25% of the successful bid amount on or before the dates of May 1, 2023, July 1, 2023, September 1, 2023 and November 1, 2023.

Lawn mowing shall include and be defined as the regular mowing, weed-eating around all trees, grave markers, signs and all other objects, and removal of all grass clippings from grave markers, and shall include the entire Cemetery property. All work shall be done and completed in a neat and workmanlik­e manner. No grass or weeds shall be permitted to grow more than a height of 6 inches anywhere on the Cemetery property at any time, with the initial lawn mowing to occur not later than May 1, 2023. Additional­ly, regardless of grass or weed height, lawn mowing shall occur within 4 days prior to the following holidays: Mother’s Day, Memorial Day, Father’s Day, July 4th and Labor Day. Lawn mowing shall not take place during any memorial or burial service occurring at the Cemetery. All flowers (real and artificial), arrangemen­ts and memorials left at gravesites shall be collected and disposed of on or before May 1, 2023 and again within 7 days of October 1, 2023.

All bids must be in writing, signed, and submitted to the Argos Clerk-treasurer before the close of business on February 13, 2023. 2 independen­t references shall also be submitted with any bid. All bids received shall be placed in a sealed envelope with the name and address of the entity submitting the bid, and the Clerk-treasurer shall place a date and time stamp on the envelope as to when the bid was received. The Town shall award the contract to the lowest responsive bidder, but reserves the right to reject any and all bids. Bids shall be opened and discussed at the Argos Town Council meeting of February 15, 2023 at 7:00 pm. The selection of a successful bidder shall take place at the Argos Town Council meeting of March 1, 2023 at 7:00 pm. Bidders need not be present at either meeting to be selected as the successful bidder. Any submitted bids are not deemed to be confidenti­al. Questions regarding the bidding process and these terms and specificat­ions shall be directed to the Argos Clerk-treasurer. The successful bidder shall execute (sign) this document upon notificati­on from the Town as being selected as the successful bidder, and this document shall serve as the lawn mowing contract.

The successful bidder shall maintain during the term of this lease a policy of liability insurance of not less than a $1,000,000.00 general aggregate limit, and which names the Town of Argos as additional insureds therein. A certificat­e reflecting such insurance coverage shall be delivered to the Town upon request. Additional­ly, the successful bidder shall indemnify, defend and hold harmless Argos against any liability, claims, damages, losses or expenses incurred by Argos in connection with any intentiona­l or negligent acts or omissions on the part of the successful bidder.

The successful bidder shall not assign or transfer the rights acquired hereunder without the express written consent of the Town. All notices required herein shall be given in writing to the other party at the addresses as provided by the parties. The successful bidder shall follow and comply with all Federal, State and local laws, rules and guidelines.

In the event of default of any of the terms and specificat­ions as described herein on the part of the successful bidder, the
