Abstract： E- commerce governance includes such two aspects as law- oriented governance and morality- oriented governance，which we should pay equal attention. E- commerce platform can realize the centralized operation of purchase， transaction，payment and logistics with the help of Big Data，which can bring us with more fair and transparent competition，and also more competition on quality，price and service differentiation. All these will promote the flow and optimized distribution of resources and factors of production，and provide market players’with effective protection on their right and intellectual property right. It also can promote the online and offline integration and the integration of manufacturing and service，and promote the development of real economy. There will be different sharing economy pattern in different platform ecosphere with different ecorelation and rule. Only with the coordinated eco- relation within the platforms，will the pattern of sharing economy be actually effective，the effect and efficiency of sharing be maximized，and the sharing economy be sustainably and healthily developed. The key for the integration of logistics and e-commerce industry is the construction of smart logistics platforms；and there is no final pattern of smart logistics. In the future，international competition，especially in the emerging fields，will focus more on the rules. For China，e-commerce platform is one of the important fields that can lead the international rule：on one hand，we should give full play to the role of government to increase complementarity with the advanced rules led by developed countries with the help of leading the development of free trade zone and the Belt and Road；on the other hand，we should give full play to the role of market players to occupy the commanding heights in such emerging fields as platform economy and sharing economy，and lead the future new development of world Internet economy with free，fair and transparent rule of e-commerce.
