Datuk Seri charged with entering agreement, receiving RM100,000 without AGM approval

KUALA LUMPUR: A former director of a constructi­on company, with the title of Datuk Seri, pleaded not guilty in the Sessions Court, here yesterday, to three counts of entering into an agreement and receiving money, totalling RM100,000, without the approval of the company’s annual general meeting (AGM) seven years ago.

Datuk Seri Jalil Siam, 62, as the person being summoned (OKS), made the plea after all the charges against him were read before Judge Norina Zainol Abidin.

Jalil was accused of using his position as the director of Syarikat Ghaz Properties Sdn Bhd, to sign a joint venture agreement with Mash Constructi­on Engineerin­g Services Sdn Bhd, without the approval of the company’s AGM, to directly benefit from it.

This offence was alleged to have been committed at Syarikat Ghaz Properties’ operationa­l office, at Platinum Walk, Setapak, on May 8, 2017.

On the second and third charges, Jalil was alleged to have used Ghaz Properties’ assets for personal gain, by receiving money through a fund transfer amounting to RM1,050 and receiving money through 20 cash transactio­ns, totalling RM98,950, which were deposited into his account after the signing the joint venture agreement.

The offences were allegedly committed at the same place on July 14, 2017.

All the charges are framed under Section 218(1)(c) of the Companies Act 2016, and punishable under Section 218 (2) of the same law, which provides imprisonme­nt for up to five years or a fine of not more than RM3 million, or both, upon conviction.

Deputy public prosecutor from the Securities Commission (SC), Mohd Iqbal Mohd Yusoff, applied for all the charges to be tried together, as they involve directors, companies and the same transactio­n.

He also requested a date for the submission of documents, which was not objected to by lawyer N. Pramod, who represente­d Jalil.

The court fixed March 15 for mention and submission of documents. — Bernama
