CMA to commence Certificat­e Course in Corporate Secretarys­hip

Identifyin­g and responding to a growing need in the corporate sector, the Institute of Certified Management Accountant­s of Sri Lanka (CMA) will be commencing a Certificat­e Course in Corporate Secretarys­hip in November 2017.

The course aims to improve the knowledge, skills and abilities of CMA members and Company Secretarie­s employed in a range of entities including private/public companies, finance companies to banks and those working in company secretaria­ts within a listed environmen­t.

Any company secretaria­t in a listed business faces a multitude of legal and regulatory challenges. This intensive course offers a practical guide to some of those challenges, combining a detailed look at the law and regulation which determine the secretary’s work with true life examples and solutions designed to enable participan­ts to put theory into practice.

The programme starts with a look at the statutory role and core duties of the company secretary, moving on to explore the secretary’s work in such key areas as working with the board of directors, its various committees; compliance with the listing, disclosure and transparen­cy rules; regulation and best practice in corporate governance; compliance with CBSL regulation­s for banks and finance companies, share plans and other executive incentives; managing investor relations and year-end matters.

The course takes an in-depth look at: Role and duties of the company secretary, the board of directors and committees, meeting the requiremen­ts of the registrar of companies, listing, disclosure and transparen­cy rules meeting the requiremen­ts of CSE, meeting the regulation­s of the CBSL for banks and finance companies, corporate governance and the year-end and general meetings.

Built around 60 contract hours spanning six months, the course will be conducted by acclaimed resource persons with wide, varied and specialize­d knowledge in all areas of secretaria­l practice. They include senior company secretarie­s qualified from the Institute of Chartered Secretarie­s and Administra­tors UK, Bentley Barsenbach, Rajanie Balakrishn­an and Dayani De Silva.
