Owners spar as hotel-bid mansion is threatened

PLAS GLYNLLIFON FACES STRIKE-OFF ORDER IF ACCOUNTS NOT SUBMITTED

- Owen Hughes

THE joint owners of Plas Glynllifon mansion in Caernarfon have been warned action could be taken unless overdue company accounts are submitted.

A proposal had been lodged to strike Plas Glynllifon Ltd off the Companies House register by the Government agency, because the business has failed to post accounts since October 2017.

The strike-off proposal has since been dropped after officials were asked to keep the company on the register.

But Companies House said “appropriate action” would be taken against companies not keeping up with their filing responsibilities.

The joint owners of the site say the other party is the cause for the delay.

On one side are Paul and Rowena Williams who bought Plas Glynllifon near Caernarfon in 2016, announcing plans to turn the site into a five-star hotel.

Work stalled and last December Mylo Capital Ltd, run by Myles Cunliffe, entered into a 50/50 partnership on Glynllifon.

But since then developments have ground to a halt and in July Mr Cunliffe said they were in discussions about selling the site.

Last month Companies House proposed the strike-off due to the failure of Plas Glynllifon Ltd to publish its 2017/18 accounts.

They had been due before May this year.

Mr Williams and Mr Cunliffe each say the other party has created the problem.

In an email from Mr Williams to Mr Cunliffe – seen by our sister paper, the Daily Post, – Mr Williams is demanding “authentication codes” to complete the filing to Companies House.

The code is used to authorise information filed online.

Mr Williams says the period in question was when they were solely shareholders and directors and told Mr Cunliffe it has “nothing whatsoever to do with you”.

Mr Williams says Mr Cunliffe’s actions are “not in the best interests of the company”.

But Mr Cunliffe says he wants the accounts to be submitted to his accountant before submission to Companies House.

He said: “We have a duty to make sure any accounts submitted, even though these accounts relate to the time the Williamses were sole shareholders, that they are a true and accurate picture.

“We await the company accounts from the Williamses and their accountants so they can be verified and submitted to Companies House.”

He added: “The current situation is that we are still in talks with various parties regarding the sale of Plas Glynllifon and talks are progressing.

“We are hopeful we will be able to announce something soon.

“The striking-off order is because of late filing of accounts and this is a general procedure from Companies House and this will be dealt with shortly by the accountants.”

But Mr Williams reiterated it was not a matter for Mr Cunliffe to interfere in company accounts that “do not affect him”, as they cover a period ending months before he became a director and shareholder.

A Companies House spokeswoman said: “Where companies indicate that they continue to exist and should stay on the register we allow them to do so.

“If they do not keep up with their filing responsibilities, we will take appropriate action.”
