IMPORTANT NOTICE

The shareholders (members) of the Bradley County Farmers Association, Inc. (also known as the Farmers Co-op) are hereby advised that a meeting has been called by the President and Board of Directors to convene on Tuesday, April 24, 2018, 6:00 p.m., at the Activities Center Building of the First Baptist Church of Warren, AR (310 S. Main).

The purpose of this meeting is to consider and then vote on the proposed dissolution of the Bradley County Farmers Association, Inc. As most are probably aware, the cooperative store closed in 2016. The usual creditors have been paid in full. The inventory and other tangible assets have been sold, and now the real property has been sold. There are funds remaining to the Cooperative. The Board of Directors met on March 6, 2018, and voted to recommend to the shareholders, at a meeting held for that purpose, that the Cooperative be dissolved, and the assets be distributed. If a majority of the shareholders in attendance and by Ballot vote in favor of dissolution then, after payment of expenses of the dissolution and a small reserve for contingencies, the officers and directors will proceed to pay off Certificates of Equity that are Valid and properly presented for payment, and then purchase the outstanding shares of the Cooperative presented for payment according to the procedure prescribed by the Board of Directors.

All eligible shareholders are encouraged to be present at this meeting and vote on this proposed dissolution, or vote by Ballot. This notice is being prominently published in various newspapers to inform those shareholders who have failed to keep their contact information current with the Cooperative. If shareholders vote in favor of dissolving the Cooperative, then the Board of Directors may possibly announce on what time table such payments might be expected. The Board of Directors, pursuant to Section 7 of the Association Bylaws, has determined that shareholders that have not patronized the Association since January 1, 2003, are not eligible to vote and their shares are canceled but may receive refund of One Dollar ($1.00) if applied for before April 24, 2018.

If you are a member and have not received a written Notice and Ballot and have patronized the Association since January 1, 2003, you can qualify to vote and participate by filing an Affidavit so stating at the meeting on April 24, 2018.

It is requested that only

MEMBERS/ SHAREHOLDERS attend this meeting. Shares in this Cooperative are nontransferrable, thus survivors and heirs of a deceased shareholder are not eligible to vote or receive payment on their behalf. Membership roll will be checked at the door. If there are any issues or questions which need to be addressed prior to this meeting, legal counsel for the Cooperative, H. Murray Claycomb, is available to assist you.
