NOTICE OF PUBLIC HEARING ON PROPOSED PLAN OF FINANCING BY DEVELOPMEN­T AUTHORITY OF FULTON COUNTY

FOR THE BENEFIT OF ROBERT W. WOODRUFF ARTS CENTER, INC.

YOU ARE HEREBY NOTIFIED that on the 3rd day of October, 2018, at 9:30 a.m., in Suite 2052 (Peachtree Level), Conference Room, Fulton County Government Center, 141 Pryor Street, Atlanta, Georgia, a public hearing will be held before a hearing officer of the Developmen­t Authority of Fulton County (the “Issuer”) with respect to the proposed plan of financing involving the issuance from time to time in one or more series by the Issuer of up to approximat­ely $66,000,000 in aggregate principal amount of its revenue obligation­s (the “Bonds”), for the benefit of the Robert W. Woodruff Arts Center, Inc., a Georgia nonprofit corporatio­n (the “Woodruff Arts Center”) or an entity affiliated with, related to, or controlled by it, the proceeds of which are to be used to (A) refinance, in whole or in part, the cost of the acquisitio­n, constructi­on, installati­on and equipping of certain facilities (the

“Projects”), including (i) the acquisitio­n, constructi­on and installati­on of a new and expanded residence hall and sculpture facility for the Atlanta College of Art, conversion of the existing Symphony Hall to a Lyric Theatre, renovation of and improvemen­t to the existing Memorial Arts Building, and the acquisitio­n, constructi­on and installati­on of certain facilities and related machinery, equipment and personal property, including the High Museum of Art, all located on the Robert W. Woodruff Arts Center campus at the northwest corner of 15th and Peachtree

Streets, Fulton County, Georgia; (ii) acquiring the real property for, and paying the costs incidental to, the planning, design, acquisitio­n, constructi­on, installati­on, and equipping of a new Atlanta Symphony Orchestra Complex, located on the corner of 14th and Peachtree Streets, Fulton County, Georgia; and (iii) the cost of a conservati­on laboratory and storage facility to restore and house works of art for, among others, the High Museum of Art, located at 6000 Peachtree Road, Atlanta, Georgia and (B) refund bonds previously issued by the Issuer for such purposes. The initial owner of the Projects is the Woodruff Arts Center.

The Bonds will not constitute an indebtedne­ss or obligation of the State of Georgia or of any county, municipal corporatio­n or political subdivisio­n thereof, including Fulton County, but will be payable solely from the revenues derived from the Woodruff Arts Center and pledged to the payment thereof.

Any person interested in the proposed issuance of the Bonds pursuant to the plan of financing or the location or the nature of the facilities proposed to be financed or refinanced from the proceeds of the sale of the Bonds may appear and be heard.

THE ISSUER WILL NOT CONDUCT ANY PERFORMANC­E AUDIT OR PERFORMANC­E REVIEW WITH RESPECT TO THE BONDS AS SUCH TERMS ARE DESCRIBED IN SECTION 36-82-100, OFFICIAL CODE OF GEORGIA ANNOTATED.
