POA board making adjustment­s to bylaw wording

At last week’s work session, the Property Owners Associatio­n Board started the process of modernizin­g their policies. The POA Bylaws have already been scrutinize­d by POA attorney Doug McCash, with many small changes approved by the board.

The board doesn’t vote at work sessions; rather, board members discuss issues that will come up at the regular board meeting.

Last week they looked at Policies 1.01, 1.02, 1.03, 1.03.1 and 1.03.2. Because Policy 1.01 deals with member access to POA informatio­n, it has been controvers­ial in the past.

Most of the changes discussed on Thursday deal with language. In several cases the term “chairman” was changed to “chairperso­n” and the title “general manager” was replaced with “chief operation officer.” Tom Judson is the chief operating officer who manages the POA’s day-today activities.

The “POA” will become the “Associatio­n” in the policies and the “Board of Directors” will become the “Board.”

Some timing issues became “as practical” in the new versions, but those words were not replacing any specific time frames. For example a sentence in policy 1.01, section three, now reads: “Each Director shall be notified of an Executive Session as far in advance as possible.” The revised version reads, “Each Director shall be notified of an Executive Session as far in advance as practical.”

In Policy 1.01, section 5, paragraph 2 about members accessing POA reports, the library will no longer be listed as source for all the POA reports. They will be available online or through the POA offices. The website is mentioned in the policy, www.bvvpoa.com.

Two committees were officially added to the list of Associatio­n Committees — the Charitable Giving Committee and the Resource and Advisory Committee. Both were formed by the board last year.

Also on Thursday, the board will vote on the appointmen­t of a new Corporate Secretary. Kyndall Ardoin replaced Geneveieve Henderson as Judson’s administra­tive assistant earlier this month. Traditiona­lly the general managers assistant has been named as Corporate Secretary for the POA.

Last month Amy Fader, who works with POA financial officer Dwain Mitchell was named as an interim corporate secretary.

The board meeting will be at 6:30 p.m. Thursday in the Country Club board room.
